PREAMBLE
 


 It shall be the objective of the team to provide a competitive outlet and disciplined training program for area residents. lt should encourage the broadest possible participation, protect the dignity of younger and less experienced competitors, and provide balanced competition for all. All competition shall be conducted on the highest ievel. Every adult associated with the team shall emphasize by word and action the virtues of fair competition and good sportsmanship.

1.0       TEAM NAME
The name of the team shall be the Anderson Mill Swim Team, Inc. It shall be known as either the Anderson Mill Swim Team (AMST) or the Anderson Mill Barracudas.
 
2.0       PURPOSE
 
The purpose of the Anderson Mill Swirn Team shall be to organize and conduct meets, coordinate with the Northwest Swim Circuit (NWSC), hire and direct coaches as necessary, establish a safe training program, provide and maintain adequate safe facilities, and administer the financial and day-to-day activities of the team.
 
The Anderson Mill Swim Team is organized exclusively for charitable,
religious, educational, and scientific purposes, including, for such purposes, the making of distributions to organizations that qualify as exempt organizations under section 5 01(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code.
 
No part of the net earnings of the AMST shall inure to the benefit of, or be
distributable to its members trustees, officers, or other private persons,
except that the AMST shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set  forth in the purpose clause hereof.  No substantial part of the activities of the AMST shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the AMST shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of any candidate for public office. Notwithstanding any other provision of this document, the AMST shall not carry on any other activities not permitted to be carried on (a) by an organization exempt from federal income tax under section 501(c)(3)o f the Internal Revenue Code,or corresponding section of any future federal tax code, or (b) by an organization, contributions to which are deductible under section 170(c)(2) of the Internal Revenue Code, or corresponding section of any future federal tax code.


3.0       GENERAL MEMBERSHIP
 
The voting general membership shall consist of parents and guardians of enrolled swimmers. Voting members must be in good standing with the
team. Each family will be entitled and limited to one vote.
 
All parents or guardians who are not elected officers shall work as vclunteers or pay the non-volunteer fee. This fee shall be determined by the Board of Directors and reviewed annually.
 
All parents or guardians shall emphasize by their words and actions the
virtues of fair competition and good sportsmanship consistent with the
preamble of the AMST and NSWC By-Laws at any AMST or NWSC
gathering, including, but not limited to meets, practices, pep rallies, etc.
Failure to demonstrate these virtues shall be brought before the Board,
discussed, and appropriate action shall be taken as recommended by the
Board.
 
 
4.0       BOARD OF DIRECTORS
 
The Board of Directors shall consist of the Elected Board Members, the
Head Coach, and the Immediate Past President. The voting members of the Board of Directors shall be the elected or appointed Board Members.
 
4.1       GENERAL  BOARD RESPONSIBILITIES
 
All Board Members shall attend all Board and General meetings. If three or more consecutive meetings are missed, a Board Member may be subject to removal from the Board.
 
Board Members should make every effort to attend every registration.
 
All Board Members must attend the Official's Clinic annually or watch the
Official's Clinic video privately, no earlier than May 1st and no later than the last day prior to the first meet and/or time trial.
 
One Membership Representative and one to two additional Board Members will be present at each practice session the first week of practice to address parent questions and concerns and monitor swimmer/coach ratios.


Board Members will be present to help set-up, execute, and clean-up for Time Trials.
 
Board Members should make every attempt to be present at all Tuesday
night meets for set-up and clean-up.
 
Before the Saturday meets Board Members must:
 
          1. Help with set-up for home meets, with the exception of the
          Computer Representative(s).
          2.  Assist Computer Representative(s) with meet preparations as
          needed the night before all Saturday meets.
 
After the Saturday meets Board Members must:
          1. Help stow all equipment
          2. Clean the pool area
          3. Assist ribbons and scoring
          4. Help with verification of event cards for proofing.
 
All Board Members shall maintain a set of instructions, notes, records, or
some report of activity, which shall be turned over to the incoming officer
by August  31st. Reports given by a Board Member shall be included in the minutes to meet this requirement.
 
Board Members must be prepared to fill any volunteer position necessary to keep meets running smoothly.
 
4.2                     ELECTED BOARD MEMBERS
 
The Elected Board Members shall be the President, FirstVice President, Second Vice President,Secretary, Treasurer, Circuit Representative(s), Computer Representative(s), Membership Representative(s), and Volunteer Coordinator. The Elected Board Members shall attend all AMST Board meetings.
 
4.2.1 Duties of the President
The President shall preside over all AMST meetings of the Board of
Directors and the General Membership; shall be an ex-officio member of all appointed committees, with the exception of the Audit and Nominating
 
 


 
 
 
Committees and shall represent the team as necessary.
 
The President shall appoint committees for responsibilities not otherwise
provided for in the By-Laws. The President may appoint alternates as
needed. The appointed committees may include, but are not limited to:
          1. T-shirt committee
          2. Swim suit committee
          3. AMST Handbook committee
          4. By-Laws Review cornmittee
          5. Kick'Off Party committee
          6. End of Year Awards Banquet comrnittee
          7. Sponsorship committee
          8. Audit committee
          9. Pep Rally committee
          10.Nominating committee
          11 .Scholarship committee
 
Contracts shall be prepared by the President, approved by the Board, and
maintained by the Secretary with the minutes. The President shall prepare a contract for all coaches for Board approval and shall act as the coordinator between the Board Members and the coaching staff.
 
The President shall be authorized to sign checks in the absence of the
Treasurer.
 
4.2.2.1 Duties of the FirstVice President
 
The  First Vice President shall conduct all business as requested by the President, and shall preside in the absence of the President.
 
The First Vice President shall review the minutes of the preceding year and the
Articles of Incorporation. The First Vice President shall preside over the AMST By-Laws R eview committee annually to propose amendments to reflect current practice.
 
The First Vice President shall be responsible for the team's equipment except for the computer and computer related items. The First Vice President shall be responsible for purchasing and maintaining all AMST equipment.
 
Equipment shall be defined as those properties purchased and owned by the team including, but not limited to the following:
 
          1. Meet equipment and supplies
          2. Pool equipmenat nds upplies.
 
The First Vice President shall be responsible for the proper storage and
inventorying of all AMST equipment at the conclusion of the season.
 
The First Vice President shall be responsible for coordinating Team Parent activities including but not limited to:
 
          1. Notebooks
          2. Equipment
          3. Training
          4. Collecting check-in sheets at meets.
 
4.2.2.2 Duties of the Second Vice President
 
The Second Vice President shall be responsible for the planning and execution of all team events, with the exeption of meets and registrations, including, but not limited to:
 
1.   Kick-Off Party
2.   Swim-a-thon
3.   Pep Rallys
          4. Carb-Loading Party
          5. End of Season Banquet
 
The Second Vice President shall also oversee the running of theConscession Stand and Team Store.
 
 
 
4.2.3 Duties of the Secretary
 
The Secretary shall take written minutes to provide a detailed record of all
Board activity. These minutes shall be presented for correction and approval at the next  Board meeting. Upon approval, these shall be retained for historical purposes. The Secretary shall maintain the official copies of documents such as minutes of the preceding five years, the Articles of Incorporation, the AMST By-Laws, and the NWSC By-Laws. The AMST By-Laws should be distributed to each new Board Member at the first Board meeting each fall, with the exceptiono f the NWSC By-Laws ,which should be distributed as soon as the revised copy is distributed to the Circuit Representative{s}. Distribution should be made electronically and posted to the web site when possible.
 
The Secretary shall be responsible for obtaining employment contracts from all coaches prior to the first practice. The Secretary shall also obtain and verify CPR certifications of all coaches.
 
The Secretary shall be responsible for ensuring that the newsletter is produced and distributed as needed during the year. The Secretary shall be responsible for ensuring that the website is maintained and updated as needed.
 
The Secretary shall be responsible for overseeing meet set-up and take-down for all home meets and shall be responsible for the proper storage of the equipment at the conclusion of the meet. (move to 1st VP?)
 
The Secretary shall be responsible for overseeing Hospitality including, but not limited to: getting ice and water to volunteers and drinks (such as
Gatorade) to swimmers.
 
4.2.4 Duties of the Treasurer
 
The Treasurer shall prepare a proposed budget for Board approval. Once
approved, the Treasurer shall monitor the budget and prepare financial reports for all scheduled Board meetings.
 
The Treasurer may appoint, with the approval of the Board, an assistant to help with various duites.
 
The Teasurer shall be responsible for maintaining the AMST bank account and signing all checks, preparing and maintaining all needed financial reports and I.R.S. documents and retain them for the preceding five years. These documents shall include but not be limited to payroll, insurance and tax returns.
 
The Treasurer shall be responsible for the AMST concessions and the
AMST store. The Treasurer shall be responsible for planning and
coordinating the operation of the AMST concessions and AMST store. (Move to 2nd Vp?)The Treasurer shall purchase, maintain, store, and inventory (annually) all AMST concession and store assets. This shall include, but not be limited to, the following:
 
          1. Non-consumable food items
          2. T-shirts, hats, caps, and other accessories purchased for resale.
 
The Treasurer shall oversee the Swimathon Fundraiser and can recommend fundraising activities to the Board if needed. (Move to 2nd VP?)
 
The Treasurer must make him/herself available, together with all pertinant documents, to the Audit Committee for the annual audit. The New Treasurer may not take office until the annual audit has been performed and their reports accepted by the Board.
 
 
4.2.5 Duties of the Circuit Representative(s)
 
The Circuit Representative{s) shall attend all meetings of the NWSC in
addition to all AMST meetings. The Circuit Representative{s) shall
coordinate between AMST and the NWSC, shall vote for the AMST at
NWSC meetings, and shall report on NWSC business at all AMST Board
Meetings.  Circuit Representative(s) shall be familiar with the requirements and conditions of the NWSC By-Laws.
The Circuit Representative(s) shall be responsible for overseeing and providing the Stroke Judge and Exchange Judge Clinic(s) and maintaining a list of qualified volunteers for these positions.
 
One of the Circuit Representatives shall be the AMST Meet Director for the season. The Meet Director is responsible for verifying the following AMST positions are filled in order to conduct a meet:
 
          1. Timers
          2. Starter(s)
          3. False Start Technician(s)
          4. Announcer(s)
          5. Runner(s)
          6. Stroke and ExchangeJ udges
          7. Ready Bench
          8. Time Card Scorer{s)
          9. Ribbons.
 
The Circuit Representatives(s) shall be responsible for overseeing the Ready Bench.
 
The Circuit Representative(s) shall be responsible for overseeing the
Scholarship Committee.
 
 
4.2.6 Duties of the Computer Representative(s)
 
The Computer Representative(s) shall maintain the team’s computer system (compatible with the NWSC), team records, hard copies, and backup copies which shall include, but not be limited to the following:
 
          1. Meet results
          2. Individual swimmer data
          3. Event cards and heat sheets.
 
The Computer Representative(s)shall attend all NWSC Computer
Representative meetings in addition to all AMST meetings.
 
The Computer Representative(s) shall be responsible for Ribbons and
Scoring volunteers.The Computer Representative(s) shall be responsible
for but not be limited to:
 
          1. Preparing Team Parent Packets and event cards
          2. Scoring the meets
          3. Preparing official heats heet(s) for the Meet officials
          4. Annotating ribbons to be awarded to swimrners after the meet
          5. Providing post meet results
          6. Providing coaches with seeding worksheets andDQ slips.
          7. Proofing meet results and make corrections as necessary.
          8. Proofing entries and assisting the Head Coach assigning relays
         
 
 
4.2.7 Duties of the Membership Representative(s)
 
The Membership Representative(s) shall be responsible for planning,
coordinating, publicizing, conducting, and maintaining the AMST
registrations as directed by the Board and coordinated with the NWSC By- Laws.
.
The Membership Representative(s) shall maintain all medical releases of the swimmers; the medical releases shall be made available at all practices and meets.
 
The Membership Representative(s) shall be responsible for the Head Timer and Timers.
 
 
4.2.8 Duties of the Volunteer Coordinator
 
The Volunteer Coordinator shall be responsible for the volunteer
commitments of members which includes, but is not limited to:
 
          1. Filling assignments during registration
          2. Making follow-up phone calls
          3. Providing a Volunteer check-in at all meets includingTime Trials, Home and          Away meets, Divisional, and Invitational Meets.
 
The Volunteer Coordinator is responsible for assigning the following AMST positions in order to conduct a meet:
 
          1. Timers
          2. Starter(s)
          3. False Start Technician(s)
          4. Announcer(s)
          5. Runner(s)
          6. Stroke and ExchangeJ udges
          7. Ready Bench
          8. Time Card Scorer{s)
          9. Ribbons.
          10. Concessions
          11. Team Parents and Ass’t Team Parents
          12. Hospitality
          13. Any other position the Board deems necessary
 
 
 
 
 
 
4.3 TERMS
 
Board Members shall be elected at the season's last general membership meeting for a one-year term beginning September 1st and ending August 31st of the following year.
 
When circunstances permit, the positions of President, Circuit Representative(s) and Computer Representative(s) shall be encouraged to serve a minimum two-year term for sake of continuity.
 
 
4.3                       CONDUCT
 
Each Board Member, Coach, Assistant  Head Coach, and Assistant Coache is an official representative of the Anderson M ill Swim Team.
 
At  AMST Board meetings, each Board Member will ccnduct themselves in a polite, respectful, andcourteous manner by their words and actions. Each mernber will have the opportunify to express his or her ideas, thoughts, and opinions. During that time, the rest of the Board Members will be respectful of whoever has the floor, and listen until that person is finished speaking. AII Board members are expected to accept  the majority vote.
 
At a NWSC meet, each Board Member, Head Coach, Assistant Head Coach, and/or Assistant Coach is charged with the responsibility of conducting themselves on the highest level of integrity by their words and actions to demonstrate the virtues of clean competition and good sportsmanship consistent  with the preamble of the AMST and NWSC By-Laws.
 
Failure to demonstrate these virtues at, either a Board meeting, swim meet, practice, etc., shall be brought before the Board, discussed, and the
appropriate action taken as recommended by the Board.
 
 
4.4       REMOVAL OF BOARD MEMBERS
 
In the event that the Board feels a Board Member is not fulfilling the
requirements and responsibilities of his/her position, or is not demonstrating sportsmanlike conduct, the Board may choose to remove that Board Member from his/her position.
 
In order to effect removal, notice of intent must be given in writing to the
Board Member that they are in danger of being removed no less than one
week prior to the next scheduled Board Meeting. Said Board Member is afforded the right to appeal this decision by either letter or personal
appearance. Removal is decided by the vote of the Board by a two-thirds
majority of the Board Members.
 
Removal of a Board Member will result in the revocation of all rights and
privileges, and will require repayment of all fees waived during the current season.
 
 
4.5                         VACANCIES
 
Vacancies shall be filled by appointment by the President with majority
approval of the Board.
 
 
4.6       IMMEDIATE PAST PRESIDENT
 
The Immediate Past President shall be a non-voting member of the Board of Directors and shall serve as Parliamentarian.
 
 
4.7                       BOARD MEMBERS EXEMPTION OF TEAM FEES
 
All voting Board Members shall be exempt from paying team fees,
regardless of the number of children they may have on the team. This shall exclude items such as swimsuits caps, goggles tote bags,and other
accessories and shall exclude any fees for trips or other activities.
 
 
4.8                       HEAD COACH
 
The Head Coach shall perform duties as required by contract  as directed
by the Board of Directors.
 
The Head Coach shall attend the NWSC Cfficial's Clinic and be familiar
with the requirements and conditions of the NWSC By-Laws.
 
The Head Coach shall cocrdinate and direct the activities of the coaching
staff and all activities at all practices.
 
The Head Coach shall be CPR certified and shall have completed a basic
first-aid course.
 
It shall be the responsibility of the Head Coach to report personal income to the IRS for tax purposes.
 
 
4.9-1 Assistant Head Coach
 
The  Assistant Head Coach shall perform duties as required by contract or as directed by the Board of Directors. The Assistant Head Coach shall attend the NWSC Official's Ciinic and be familiar with the requirements and conditions of  the NWSC By-Laws. The Assistant Head Coach shall assist the Head Coach in coordinating and directing the activities of the coaching staff. In the event the Head Coach is unable to be present at anactivity or practice the Assistant Head Coach will assume all responsibilities of the Head Coach. The Assistant Head Coach shall be CPR-certified and shall have completed a basic first aid course.
 
It shall be the responsibility of the Assistant Head Coach to report personal income to the IRS for tax purposes.
 
 
4.9.2  Assistant Coaches
 
The Assistant Coaches shall perform duties as required by contract, as
directed by the Head Coach, Assistant  Head Coach, or as directed by  the Board of Directors.The  Assistant Coaches shall be familiar with the
Requirements and conditions of the NWSC By-Laws.The Assistant Coaches shall be CPR certified and have a basic knowledge of first aid.
 
It shall be the responsibility of the  Assistant Coaches to report personal
income to the IRS for tax purposes.
 
 
5.0       ELECTION PROCEDURES
 
The President shall appoint a three member Nominating Committee from the General Membership, who are current members in good standing. Notice of the formation of this committee shall be placed in the team newsletter and team website in a timely manner. Members of this committee shall be AMST members in good standing.
 
The Nominating Committee shall prepare and present a slate of officers for the next season to the Board. Nominees must have at least one swimmer on the Anderson Mill Swim Team when the slate is presented to the general membership to be voted on. The Board shall approve or amend the proposed slate.
 
The Board shall announce the slate of nominees by publication in the team newsletter, the team website, and at both pools at least one week prior to the General  Membership meeting at which time the election will take place.
 
Only members present at the General Membership meeting at the time the election is conducted shall be allowed to vote. Vote by proxy or advance “absentee” voting is not permissable.
 
Elections will take place at the End of Season General meeting.The
Chairman of the Nominating Committee shall present the slate of nominees, position by position, to the General Membership beginning with the Office of President. As each position is announced, the Chairman shall accept nominations from the floor. Nominees must formally accept such nominations and must be present.
 
Exception: In the event that a Nominee is unable to attend the meeting,
acceptance of the nomination may be made in writting which shall be read aloud and turned over to the Secretary for inclusion in the meeting minutes.
 
The  Chairman shall announce that nominations are closed. Election shall be by voice if there is only one nominee per position, otherwise by ballot vote, which will be distributed by the Secretary.
 
The candidates receiving  the highest number of votes for each  representative position voted upon shall be enlitled to serve as a Board Member.  In case of a tie, the election shall be repeated until a winner is decided.
 
 
 
 
6.0 MEETS
 
Each season's schedule shall be provided by the NWSC
.
Meets shall be conducted in accordance with the NWSC By-Laws unless
otherwise coordinated between the teams' Meet Directors prior to the meet.
 
 
6.1 Eligibility of Srrimmers
 
All swimmers who have paid the proper registration fees, or who have
obtained a scholarship from the Board, and complies with the Northwest
Swim Circuit's requirements as outlined in the NWSC By-Laws, see 6.0,
and who are in good standing with the Team, may participate in all swim
competilions as sanctioned by the NWSC.
 
Exception: With regard to the lnvitational Meet, the Anderson Mill Swim Team requires that, in additiont o the requirements imposed by the NWSC, a swimmer must have competed in that season's Divisional M eet in order to participate in the Invitational Meet of the same season.
 
All swimmers must be current members of AAU (Amateur Athletic Association) and be able to provide proof of membership.
 
6.2 Meet Director
 
The Board shall appoint a designated Meet Director for the current season. The Meet Director may be a sitting Board Member, although not necessarily, and a member in good standing in the current season. The Meet Director shall coordinate efforts between the Meet Directors of other teams, attend all in-season Board meetings for reporting purposes, and follow the directives of the AMST Board. The Meet Director is responsible for ensuring all NWSC By-Laws are adhered to in conjunction with the running of a meet. This position may be considered for a scholarship.
 
 
7.0       ADMIMISTRATION
 
 
 
 
7.1                       BOARD MEETINGS
 
Regularly scheduled Board meetings shall be closed meetings except upon invitation and shall be held once a month during the off-season and once a week during the season. Additional meetings may be held at the discretion of the President. Notice of additional meetings must be made in a timely fashion.
 
7.2 QUORUM
A simple majority of Board Representatives shall constitute a quorum for Board meetings.
 
A minimum of 25 members constitutes a quorum at a for General Membership meetings.
 
7.3 GENERAL MEMBERSHIP MEETINGS
 
General Membership meetings shall be held no less than twice a year: at the beginning of the season and at the end of season.
Additional meetings may be held at the discretion of the Board, with appropriate notice given.
 
The beginning of the season meeting shall include an lntroduction of the
Board Members, the Head Coach, Assistant Head Coach, and the Assistant Coaches, a financial report, and any necessary voting.
 
The end of the season meeting shall include, as a minimum, an awards
presentatlon, a financial statement, and an election of Board Representatives for the following year.
 
 
7.4 FEES
 
The Team shall pay any dues or assessments required by the NWSC of all its members, such as for ribbons, DQ pads, Divisional/Invitational costs, insurance, and other administrative costs.
 
Fees due from swimmers shall include insurance fees, Divisional Fees, Invitational Fees, team membership non-volunteer fees, out-of-district fees and, if applicable, other related fees.
 
 
7.5 TEAM SCHOLARSHIPS
 
The Anderson Mill Swim Team shall award a predetermined number of
Scholarships per season. Applications shall be accepted by the Board at the time of registration. Applications shall be reviewed by the Scholarship
Committee and will then make recommendations to the Board. Applicants
will be notified by the President or Scholarship Committee Chair of the
decision of the Board. All information acquired during this process shall
remain confidential. No scholarship shall be awarded to the same swimmers for more than two consecutive years.
 
7.6 LIABILITY I NSURANCE
 
Liability insurance shall be maintained by the team as required by the
NWSC and should consider coverage for the Meet Director, Starter, and
Coaches.
 
 
7.7  ANDERSON MILL MUD BOARD LIMITED DISTRICT
 
The Anderson Mill Limited District shall be given a copy of the team's liability insurance coverage prior to the start of the season.
 
 
8.0 AMENDMENTS
 
 
 
8.1 PROPOSED AMENDMENTS, DISCUSSION AND VOTE
 
Any member can present proposed amendments to the Board of Directorsfor discussion and vote.  An amendment must receive a two-thirds majority vote of Board Members to then be presented to the General Membership for a vote at the next General Meeting.
 
8.2 AMENDED BY-LAWS
 
These By-Laws shall be amended after approval of the Board of Directors at any announced meeting by a two-thirds majority vote of the members present.
 
 
9.0 DISSOLUTION
 
After a two-thirds vote of the Board of Directors, dissolution must be
approved by two-thirds of the members present at any general membership meeting.
 
Upon the dissolution of the AMST, assets shall be distributed for one or
more exempt purposes within the meaning of section 501(c)(3) of the
Internal Revenue Code, or corresponding section of any future federal tax
code, or shall be distributed to the federal govemment, or to a state or local governmentf, or a public purpose. Any such assets not disposed of shall be disposed of by the Court of Common Pleas at the county in which the principal office of the AMST is then located, exclusively for such purposes or to such organization or organizations as said Court shall determine, which are organized and operated exclusively for such purposes.
