[NOTICE] 2021 Annual Michigan Swimming, Inc. House of Delegates Meeting

This communication contains information relating to the annual membership meeting of Michigan Swimming, Inc. and an election for the Michigan Swimming, Inc. Board of Directors. Michigan Swimming, Inc. is a 501(c)(3) domestic not-for-profit corporation in the state of Michigan. All applicable provisions of PA 162 of 1982 (NONPROFIT CORPORATION ACT) and the Michigan Swimming, Inc. Corporate Bylaws are in effect.

Notice of Annual House of Delegates Meeting
 
Notice of Meeting
According to Article 4.6 and Article 5.6.6 of the Michigan Swimming, Inc. Corporate Bylaws, the Michigan Swimming, Inc. Board of Directors has passed a resolution calling, and hereby gives notice of, the annual House of Delegates meeting of Michigan Swimming, Inc. which will take place in-person only on Sunday, October 3, 2021 at 1:00pm Eastern Time at the Detroit Marriott Livonia (17100 N. Laurel Park Drive, Livonia, Michigan 48152).
 
In the event that Michigan Swimming, Inc. determines that conditions created as a result of the COVID-19 pandemic prevent an in-person gathering for this purpose, the meeting will be conducted via an entirely virtual environment on the same date and time, as permitted by MCL 450.2405(3). A notice of change of venue will be distributed if this occurs, but no separate notice will be given and all other provisions of this notice shall remain in effect.
 
All members of Michigan Swimming, Inc. are invited to attend, but only Group Member Representatives, current members of the Michigan Swimming, Inc. Board of Directors, Non-Athlete At-Large House of Delegates members, Athlete At-Large House of Delegates members, and Committee Chairs & Coordinators of standing committees, all of which must be individual members in good standing, are eligible to vote in business conducted by the Michigan Swimming, Inc. House of Delegates in accordance with Article 4.4.1 and Article 4.4.2 of the Michigan Swimming, Inc. Corporate Bylaws.
 
The agenda, any legislation pending before the body, and other relevant materials will be published on the Michigan Swimming, Inc. website at a future date.
 

 

Pre-Registration Required
To ensure the facility is equipped to properly socially distance participants, and to aid in conducting this meeting via a virtual environment should it be required, all attendees (both voting and non-voting) are required to pre-register for this meeting.
 
Attendees must pre-register for the meeting by completing this form no later than Sunday, September 26, 2021 at 5:00pm Eastern Time. Only attendees who pre-register by the deadline will be able to participate in the meeting. We sincerely apologize that we will not be able to accommodate late registrations.
 

 

Confirmation of Group Member Representatives
All Group Members will be required to confirm their official Group Member Representative and Group Member Athlete Representative by Sunday, September 26, 2021 at 5:00pm Eastern Time. No changes to either representative are able to be accommodated after this deadline due to the potential need to use a virtual environment and Michigan Swimming, Inc.'s required good faith compliance with MCL 450.2405(4)(a) & MCL 450.2413. Additional information on this process will be shared directly with Group Member presidents/owners.
 
Should a Group Member fail to confirm its Group Member Representative or Group Member Athlete Representative by the deadline, each representative will default to the Group Member President or latest Group Member Athlete Representative on file with the Michigan Swimming, Inc. Office, respectively.
 
All Group Member Representatives and Group Member Athlete Representatives must pre-register using the above process by the stated deadline. There will be no exceptions.
 

 

Requests for At-Large Delegate Appointments
In accordance with Article 4.1.3 and Article 4.1.4 of the Michigan Swimming, Inc. Corporate Bylaws, the Chairman of the Board of Directors of Michigan Swimming, Inc. may appoint a specified number of individual members in good standing to serve as at-large delegates with voting privileges for this meeting.
 
Any party interested in seeking appointment as a Non-Athlete At-Large House of Delegate member or as an Athlete At-Large House of Delegate member must petition the Chairman of the Board of Directors of Michigan Swimming, Inc. via e-mail to [email protected] no later than Sunday, September 19, 2021 at 5:00pm Eastern Time.
 
No at-large appointments are guaranteed; all requests will be evaluated on a case-by-case basis. Appointments are subject to confirmation by the Michigan Swimming, Inc. Board of Directors.
 

 

Elections for the Michigan Swimming, Inc. Board of Directors
Pursuant to Article 4.5.1 of the Michigan Swimming, Inc. Corporate Bylaws, it is the duty of the Michigan Swimming, Inc. House of Delegates to elect the officers of the Michigan Swimming, Inc. Board of Directors.
 
Any individual who wishes to submit a nomiantion for one or more of these positions must follow the instructions provided in the original call for nominations.
 

 

Junior Coach Representative & Junior Athlete Representative Elections
Due to COVID-19, the Junior Coach Representative and Junior Athlete Representative elections will again be conducted using a digital platform. All eligible voters (as defined below) will receive credentials to log-in to the voting platform and cast their ballot via their current e-mail on file with Michigan Swimming, Inc. There is no requirement that any voter pre-register for this election; eligible voters will be retrieved from the SWIMS database on September 19, 2021.
 
 
Junior Coach Representative Election
The Junior Coach Representative election will open on Monday, September 20, 2021 at 12:00am ET and will close on Sunday, October 3, 2021 at 1:00pm ET. All eligible voters who wish to cast a ballot must do so within this window.
 
Only coach members of Michigan Swimming, Inc. registered for the 2021 or 2022 registration year, in good standing, and current in all certifications, trainings, and other requirements for membership through October 3, 2021 (as of September 19, 2021) are eligible to vote in this election. No other individual is eligible to vote. An ineligible individual's use of an eligible individual's credentials to cast a ballot in this election is expressly prohibited and will result in disciplinary action to the fullest extent of the law.
 
The individual elected to the position of Junior Coach Representative will serve a term beginning on January 1, 2022 through December 31, 2023. The first year of the elected individual's term will be as the Junior Coach Representative and Chair of the Coaches' Constituent Council; this is a non-Board position. The second year of the elected individual's term will be as the Senior Coach Representative; this is a Board position.

Junior Athlete Representative Election
The Junior Athlete Representative election will open on Monday, September 20, 2021 at 12:00am ET and will close on Sunday, October 3, 2021 at 1:00pm ET. All eligible voters who wish to cast a ballot must do so within this window.
 
Only athlete members of Michigan Swimming, Inc. registered for the 2021 or 2022 registration year, in good standing, and current in all certifications, trainings, and other requirements for membership through October 3, 2021 (as of September 19, 2021), and age 14 and over are eligible to vote in this election. No other individual is eligible to vote. Use of an eligible individual's credentials to cast a ballot in this election by any other individual except the eligible voter is expressly prohibited and will result in disciplinary action to the fullest extent of the law.
 
The individual elected to the position of Junior Athlete Representative will serve a term beginning on January 1, 2022 through December 31, 2023. The first year of the elected individual's term will be as the Junior Athlete Representative and the second year of the elected individual's term will be as the Senior Athlete Representative. Both positions are Board positions.

Proposed Amendment to Articles of Incorporation
The Michigan Swimming, Inc. Board of Directors proposes an amendment to the Michigan Swimming, Inc. Articles of Incorporation to be considered at this meeting as part of its efforts to secure the organization's own non-group 501(c)(3) tax-exempt status.
 
Pursuant to MCL 450.2611(4), by way of this communication distributed more than ten (10) days before the date of the meeting upon which this matter is to be considered, official notice is given to all members entitled to vote that the aforementioned amendment to the Michigan Swimming, Inc. Articles of Incorporation will be considered at this meeting.
 
The text of the proposed amendment is available to all members entitled to vote by clicking here (updated 9/11/2021 to reflect membership corporation, not directorship corporation as originally and accidentally stated).
 
This amendment must receive majority support of of all members entitled to vote at the meeting to be made effective, not only those present and voting. Thus, all Group Member Representatives and Group Member Athlete Representatives are strongly encouraged to prioritize attendance at this meeting.
