Bylaws of Northern Area Aquatics Committee, Inc.

Below you will find the complete By-laws of this organization, adopted 15 November, 1988 

Article I. Name
This organization is a nonprofit association of members with a common interest in aquatics and shall be known as the Northern Area Aquatics Committee, Inc.

Article II. Objectives
The purpose of this committee is to promote competitive swimming for youth and adults, and act as a representative for all swim teams in the Northern Area whose geographical area is defined by Alaska Swimming, Inc. (member of United States Swimming - U.S.S. [subsequently known as USA Swimming]).
Article III. Board of Directors
1. The Board of Directors shall consist of the Northern Area Representative, (a voting member on the Board of Directors of Alaska Swimming) a Secretary-Treasurer, the President of each current area USA Swimming team, the Head Coach of each area team, and a member-at-large, as well as an athlete representative.
2. The Board of Directors shall have authority over all the committee’s finances.
3. The Northern Area Representative and the Secretary-Treasurer shall be elected every two years in the month of September.
Article IV. Duties
1. The Northern Area Representative shall call and conduct each meeting of the committee and act as the liaison between the committee and Alaska Swimming.
2 . The Secretary-Treasurer shall keep minutes of each meeting and a complete record of all financial transactions.
3. The Member-at-Large shall be responsible for the fund raising activities of the committee.
Article V. Meetings
1. Those Board members present and voting shall constitute a quorum.
2. All meetings require that prior notice be given one week in advance.
3. By-law changes require a minimum of six votes of the Board for change.
Article VI. Exempt Activities
Notwithstanding any other provisions of these By-laws, no member, officer, or committee of this corporation shall take any action or carry on any activity by or on behalf of the corporation not permitted to be taken or carried on by an organization exempt under section 501(c)(3) of the Internal Revenue Code and its Regulations as they now exist or as they may hereafter be amended, or by an organization contributions to which are deductible under section 170 (c)(2) of such Code and Regulations as they now exist or as they may hereafter be amended.
Article VII. Dissolution
Upon dissolution, the net assets of NAAC will not inure to the benefit of any private individual or corporation, but shall be distributed in the following order of priority (1) to the Area Teams, (2) to Alaska Swimming, Inc., and (3) to United States Swimming, Inc. to be used exclusively for educational or charitable purposes, or, if none of them are in existence or are not then corporations which are exempt under section 501(c)(3) of the Internal Revenue Code and to which contributions, bequests and gifts are deductible under sections 170 (c)(2), 2055 (a)(2) and 2522 (a)(2) thereof, such assets shall be distributed to such a corporation, to be used exclusively for educational or charitable purposes.
