NOTICE OF SPECIAL MEETING

_______________________________________________

 

Pursuant to Article 4.7 and Article 5.6.6 of the Michigan Swimming, Inc. Corporate Bylaws, the Michigan Swimming, Inc. Board of Directors has passed a resolution calling, and hereby gives notice of, a special meeting of the House of Delegates of Michigan Swimming, Inc. which will take place  on Saturday, June 24, 2023 beginning at 4:00pm Eastern Time in an entirely virtual environment via a telecommunications platform.

  

The purpose of the special meeting includes, but is not limited to, consideration of an amendment to the Michigan Swimming, Inc. Rules & Procedures proposed by a group member outside of the body’s regular legislative cycle.

 

All members of Michigan Swimming, Inc. are invited to attend, but only Group Member Representatives, current members of the Michigan Swimming, Inc. Board of Directors, Non-Athlete At-Large House of Delegates members, Athlete At-Large House of Delegates members, and Committee Chairs & Coordinators of standing committees, all of which must be individual members in good standing unless otherwise specified by the Michigan Swimming, Inc. Corporate Bylaws, are eligible to vote in business conducted by the Michigan Swimming, Inc. House of Delegates pursuant to Article 4.1 and Article 4.4 of the Michigan Swimming, Inc. Corporate Bylaws.

 

The agenda, any legislation pending before the body, and other relevant materials will be published on the Michigan Swimming, Inc. website.

 

 

 

PRE-REGISTRATION REQUIRED

To conduct this meeting in a virtual environment via a telecommunications platform,  all attendees (both voting and non-voting) are required to pre-register for this meeting.

 

Attendees must pre-register for the meeting by  completing the form available on the Michigan Swimming, Inc. website no later than Saturday, June 17, 2023 at 4:00pm Eastern Time. Only attendees who pre-register by the deadline will receive a unique link to the virtual environment and be able to participate in the meeting. We sincerely apologize that we will not be able to accommodate late registrations.

 

 

 

CONFIRMATION OF GROUP MEMBER REPRESENTATIVES

All Group Members will be required to confirm their official Group Member Representative and Group Member Athlete Representative  by Saturday, June 17, 2023 at 4:00pm Eastern Time. No changes to either representative are able to be accommodated after this deadline due to Michigan Swimming, Inc.'s required good faith compliance with MCL 450.2405(4)(a) & MCL 450.2413. Additional information on this process will be shared directly with Group Member presidents/owners via e-mail.

 

Should a Group Member fail to confirm its Group Member Representative or Group Member Athlete Representative by the deadline, each representative will default to the Group Member President or latest Group Member Athlete Representative on file with the Michigan Swimming, Inc. Office, respectively.

 

All Group Member Representatives and Group Member Athlete Representatives must pre-register using the above process by the stated deadline. There will be no exceptions.

 

 

 

REQUESTS FOR AT-LARGE DELEGATE APPOINTMENTS

In accordance with Article 4.1.3 and Article 4.1.4 of the Michigan Swimming, Inc. Corporate Bylaws, the Chairman of the Board of Directors of Michigan Swimming, Inc. may appoint a specified number of individual members in good standing to serve as at-large delegates with voting privileges for this meeting.

 

Any party interested in seeking appointment as a Non-Athlete At-Large House of Delegate member or as an Athlete At-Large House of Delegate member must petition the Chairman of the Board of Directors of Michigan Swimming, Inc. via e-mail to [email protected] no later than  Saturday, June 10, 2023 at 4:00pm Eastern Time.

 

No at-large appointments are guaranteed; all requests will be evaluated on a case-by-case basis. Appointments are subject to confirmation by the Michigan Swimming, Inc. Board of Directors.
