Assist in periodic evaluation of the mission and vision statements and the Bylaws of SDSI. Aid in the development of operating policies regarding conflict of interest (Board and staff), document retention, ethics, whistle-blower, procurement, contract review, grievance and other employment-related practices, etc.  Aid in the development of personnel practices procedure including job descriptions and annual review of staff (if applicable).  Assist in shaping the Board’s agenda based on the strategic plan.  Aid in the development of expectations and processes for accountability of Board members.  Develop criteria for the qualities and required characteristics of Board officers.  Lead Board succession planning by assessing current and anticipated needs for Board composition and identifying and recruiting potential Board members.  Nominate Board members, Administrative Review Board members, and other coordinator or chair positions to be elected by the House of Delegates consistent with the matrix of skills, demographics, and talents needed.  Publish the slate of candidates to the SDSI membership at least twenty (20) days prior to the election. Additional nominations may be made from the floor of the House of Delegates by voting members of the House of Delegates.  Design and implement Board orientation and an ongoing program of Board education and development.  Lead periodic assessment of the Board’s performance (as a whole and of individual members) and make recommendations to enhance Board effectiveness.

The Chair shall be elected annually by the Governance Committee from among its own members.  The Governance Committee members shall be appointed by the General Chair with advice and consent of the Board of Directors. The Committee shall be comprised of at least three members and a sufficient number of athletes so as to constitute at least twenty percent (20%) of the voting membership of the Committee. Each non-athlete member shall serve a three-year term. Each athlete member shall serve a one-year term. Terms shall be staggered such that approximately one-third (1/3) of members are appointed each year. No more than one-half (1/2) of the Governance Committee members shall be members of the SDSI Board of Directors at any given time. After completion of two consecutive terms, members are not eligible for re-appointment to the Governance Committee until after a lapse of two years. A portion of any term served to fill a vacancy in the position shall not be considered in the computation of the successive term limitation. In no case shall the General Chair serve on the Governance Committee.

Athlete’s Committee

 

Bylwas 7.4.1

The Athletes’ Committee shall have general charge of the business and affairs of the Athletes of SDSI, and shall undertake such activities (a) delegated to it by the Board of Directors or the General Chair or (b) undertaken by the Committee as being in the best interests of the Athlete Members, SDSI, USA Swimming and the sport of swimming

The Senior Athlete Representative or his/her designee shall be the chair of the committee. The Athletes Committee shall consist of the Athlete Representatives, the Athlete At-Large Board members and athletes elected as at large members of the House of Delegates. The most recent past senior athlete representative and senior at-large representative will be ex-officio members of the committee.

Audit Committee

 

P&P Article 2.5.1, Article 2.4.2a

The Audit Committee is authorized to, and it shall be its duty to, conduct the annual audit of the books of SDSI required hereunder and present the results thereof to the Board of Directors and the House of Delegates (a) annually recommend an independent auditor to the Board of Directors, (b) review and negotiate the services to be performed by the independent auditor, (c) receive and review the audit and other reports submitted by the independent auditor and (d) submit the audit and other reports and make recommendations to the Board of Directors with regard thereto.

The members of the Audit Committee shall be the Finance Vice Chair, who shall serve as chair, the Administrative Vice Chair, the Coach Representative and a sufficient number of athletes appointed so as to constitute at least twenty percent (20%) of the voting membership of the Committee

Budget Committee

 

P&P Article 2.5.2, Article 2.4.2b

The Budget Committee is authorized and obligated to consult with the officers, committee chairs and coordinators and prepare and present a proposed budget for consideration and approval by the Board of Directors and the House of Delegates. The officers, committee chairs and coordinators shall provide promptly such financial information (current and projected) and budget proposals as the Budget Committee may request. The proposed budget may contain alternatives.

The members of the Budget Committee shall be the General Chair, the Finance Vice Chair, who shall serve as chair, the Treasurer, the Administrative Vice Chair, the Coach Representative, the Age Group Vice Chair, the Senior Vice Chair and a sufficient number of athletes appointed so as to constitute at least twenty percent (20%) of the voting membership of the Committee.

Coaches  Committee

 

P&P Article 2.4.2c

The Coach Representative shall chair and have general charge of the business, affairs and property of, the Coaches Committee, which shall undertake such activities (a) delegated to it by the Board of Directors or the General Chair or (b) undertaken by the committee as being in the best interests of the Coach Members, SDSI and the sport of swimming.

The members of the Coaches Committee shall consist of the Coach Representative and such additional Coach Members as may be determined by the Coach Representative and a sufficient number of athletes appointed so as to constitute at least twenty percent (20%) of the voting membership of the Committee. The Coach Representative shall be the chair of the committee.

Finance Committee

 

Bylaws Article 7.4.2

Duties. 1. To develop, establish where so authorized, or recommend to the Board of Directors, and supervise the execution of policy regarding the investment of SDSI’s working capital, funded reserves and endowment funds, within the guidelines, if any, established by the Board of Directors or the House of Delegates. The Finance Committee shall also regularly review SDSI’s equipment needs (both operational and office) and the various methods available to finance the acquisition           of any needed equipment and make a determination and recommendation of the best financing method.

2.  To conduct a review or audit or recommend an independent auditor to conduct the required annual review or audit of the books of SDSI. If conducted internally, a minimum of three (3) committee members with a sufficient number of athletes to constitute at least 20% of the voting membership, must conduct the review or audit. The Treasurer cannot be a member of the group performing the audit, but can be present to provide clarification, information and answer questions.

3.To submit the review or audit and other reports and make recommendations to the Board of Directors with regard thereto.

4. To consult with the officers, committee chairs and coordinators and prepare and present a proposed budget for consideration and approval by the Board of Directors and the House of Delegates. The officers, committee chairs and coordinators shall provide promptly such financial information (current and projected) and budget proposals as the Finance Committee may request. The proposed budget may contain alternatives.

5. To complete and submit any state and local reports and filings.

The chair shall be the Finance Vice-Chair. The members of the Finance Committee shall be the Finance Vice-Chair, the Treasurer, the General Chair, and the Administrative Vice Chair, a non-Board member, and a sufficient number of athletes so as to constitute at least twenty percent (20%) of the voting membership of the Committee.

Officials Committee

The Officials Committee is authorized and obligated to recruit, train, test, certify, evaluate, retest, recertify and supervise officials for SDSI and such other activities as may be necessary or helpful in maintaining a roster of qualified, well-trained and experienced officials of the highest caliber. 2.5.3

The members of the Officials Committee shall be the Officials Chair, who shall serve as chair, and at least two other members each of whom shall be a certified official of SDSI and a sufficient number of athletes appointed so as to constitute at least twenty percent (20%) of the voting membership of the Committee. 2.4.2d

Safe Sport Committee

 

P&P Article 2.4.2g

The purpose of the SDSI Safe Sport Committee is to ensure implementation of the USA Swimming’s Safe Sport policies, guidelines, educational programs, reporting and adjudication procedures which are intended to help provide as safe, healthy and positive environment as possible for all USA Swimming members. The Safe Sport Committee will:
a)      Coordinate and oversee the implementation of effective ongoing educational programs for all athlete members, their parents, coaches, volunteers and local clubs as provided by USA Swimming;
b)      Be the primary contact for the club members in SDSI to share information about what USA Swimming and other LSCs are doing regarding Safe Sport policies and programs; and to collect, develop and disseminate information on LSC best practices;
c)      Serve as an information resource for clubs by, among other things, helping to identify and connect them with local educational partners and resources;
d)      Perform other functions as necessary in the fulfillment of USA Swimming’s continuing efforts to foster safe, healthy and positive environments for all its members; and
e)      Be available to work on special projects, educational programs and assignments as needed.

The members of the Safe Sport Committee shall be the Safe Sport Coordinator, who shall serve as chair, and at least four additional members; at least one shall be a Coach Member, at least two shall be at-large non-athlete members, and a sufficient number of athletes appointed so as to constitute at least twenty percent (20%) of the voting membership of the Committee

Safety Committee

 

P&P Article 2.5.7, Article 2.4.2h

The Safety Committee shall be responsible for coordinating safety enhancement and training opportunities as needed and for the dissemination of USA Swimming safety education information to all Group Members, athletes, coaches and officials of SDSI. The Safety Committee shall develop safety education programs and policy for SDSI and make recommendations regarding those programs and policies and their implementation to the applicable division Vice Chairs and the Board of Directors. When approved by the Board of Directors, the Safety Committee| shall be responsible for the coordination of their implementation by the Club Members. The Safety Committee Chair with the assistance of the Committee members shall prepare and transmit the reports required pursuant to Article 7.7 of the By-Laws. 2.5.7

The members of the Safety Committee shall be the Safety Committee Chair, who shall serve as the chair, and four (4) additional members; one shall be an SDSI certified official, one shall be a Coach Member, and a sufficient number of athletes appointed so as to constitute at least twenty percent (20%) of the voting membership of the Committee. 2.4.2h

Scholarship Committee

 

P&P Rule 7.1

Each year the Scholarship Committee may award up to four (4) $1,000 College scholarships to high school seniors in recognition of their contribution to the sport of swimming through competition and team leadership. (09/23/2012)

Scholarship Committee – The Senior Division Vice-Chair shall chair the three-person Scholarship Committee and shall appoint one member coach and one member parent to serve on the committee each year. 7.1c

Technical Planning Committee

 

P&P Article 2.5.8, Article 2.4.2i

The Technical Planning Committee shall be responsible for long-range planning for the swimming programs conducted by SDSI and for advice regarding the technical aspects of those programs and of the sport of swimming generally 2.5.8

The members of the Technical Planning Committee shall be the Technical Planning Committee Chair, who shall serve as chair, a sufficient number of athletes appointed so as to constitute at least twenty percent (20%) of the voting membership of the Committee and at least six (6) additional members of whom at least fifty percent (50%) shall be Coach Members. The Athlete Member and the additional members shall be appointed by the General Chair with the advice and consent of the Board of Directors.
